("DeepWave", "we", "us", or "our") provides our website, applications, and related services (collectively, the "Service") to you subject to these Terms of Service ("Terms"). Please read these Terms carefully. By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
If you are considered a minor in your country, you represent that you have your parent or guardian’s permission to use the Service.
If you are a parent or legal guardian allowing a minor to use the Service, you agree to be bound by these Terms and are responsible for the minor’s activity on the Service.
"Account" means the user profile created by registering with DeepWave.
"Content" means text, images, audio, video, software, data, and other materials.
"User Content" means Content that you upload, submit, or transmit to the Service (e.g., audio files for analysis).
"DeepWave Content" means Content created and provided by DeepWave.
"Service" means the websites, software, applications (Apps), and analysis services provided by DeepWave.
"Subscriber" means a user who purchases paid services or subscriptions.
You agree to use the Service only for lawful purposes. You represent and warrant that:
Originality: The Content you upload is original to you, or you have all necessary rights and licenses to use it.
No Infringement: Your Content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party.
Prohibited Acts: You will not:
You are responsible for maintaining the confidentiality of your account credentials.
You are responsible for all activities that occur under your account.
You agree to notify DeepWave immediately of any unauthorized use of your account.
DeepWave Ownership: DeepWave owns all rights, title, and interest in the Service, Software, and DeepWave Content, including all associated intellectual property rights.
License to User: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business use.
User Content: You retain ownership of your User Content. By uploading User Content, you grant DeepWave a worldwide, royalty-free license to host, store, back up, transmit, process, and display such User Content solely as necessary to provide, maintain, secure, and support the Service (including troubleshooting, quality assurance, and preventing abuse), as described in our Privacy Policy.
Fees: Certain features of the Service may require payment. You agree to pay all applicable fees in connection with your use of the Service.
Subscriptions: If you purchase a recurring subscription, it may automatically renew unless you cancel before the renewal date/time. Cancellation and renewal timing are governed by the applicable platform’s policies (e.g., Apple App Store or Google Play). You can manage or cancel your subscription through the platform account settings.
Price Changes: DeepWave reserves the right to adjust pricing. We will provide reasonable notice of any price changes via the App, website notice, or email.
Refunds: Except as required by applicable law, fees are generally non-refundable. If your purchase is made through a third-party platform (e.g., Apple App Store or Google Play), refunds (if any) are handled in accordance with that platform’s refund policies and terms.
Third-Party Processors: Payments may be processed by third-party services (e.g., NewebPay, Apple App Store, Google Play). You agree to comply with their terms and conditions.
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, and protect your personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DEEPWAVE DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, DEEPWAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.
You may stop using the Service at any time. You may also request account deletion as described in our Privacy Policy.
Termination by DeepWave: We may suspend or terminate your access to the Service if you violate these Terms, pose a security risk, or if we are required to do so by law. Where reasonably practicable, we will provide notice and an opportunity to address the issue.
These Terms shall be governed by and construed in accordance with the laws of the Republic of China (Taiwan), without regard to its conflict of law principles, subject to any mandatory consumer protection laws that may apply. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Taipei District Court in Taiwan.
We may update these Terms from time to time. If we make material changes, we will notify you by posting the new Terms on our website or through the Service. Your continued use of the Service after the effective date of the new Terms constitutes your acceptance of the changes.
